Telenor Pakistan and Ufone join hands under PTML, creating Pakistan's second-largest mobile operator
Justice Khadim Hussain Soomro of the Islamabad High Court sanctioned the scheme of amalgamation on June 30, 2026, ruling that the merger met all legal requirements, was fair to shareholders and creditors, and was not against the public interest.
With that approval in hand, Telenor Pakistan's operations, infrastructure, and customer base have been fully consolidated under PTML, and the company has ceased to exist as an independent legal entity.
Under the framework approved by the Competition Commission of Pakistan (CCP), PTML will now serve as the group's unified mobile operator, combining the assets, spectrum, network infrastructure, and subscribers of both Telenor Pakistan and Ufone.
However, in a major structural shift, PTCL has been separated from the merged mobile business and will no longer be part of the new MergeCo. The Competition Commission required PTCL to function independently, with separate boards of directors and chief executives overseeing PTCL and PTML.
As part of the post-merger restructuring, PTCL has appointed Mohammad Nadeem Khan as its interim Chief Executive Officer for a 14-day period, effective July 2, 2026, replacing Hatem Mohamed Bamatraf. Zarrar Hasham Khan will serve as chairman, alongside newly appointed directors Mohamed Dukandar and Sabri Ali Yehya.
The deal creates a combined customer base of around 72 million, positioning the merged entity as the second-largest mobile operator in the country after Jazz.
The combined entity is expected to have a revenue share of 31.7% and subscriber share of 35.3%, while the combined mobile broadband subscriber share of Telenor Pakistan and Ufone stands at 32.4%.
PTML has assured customers that services for both former Telenor Pakistan and Ufone subscribers will continue without interruption during the integration process, with users expected to benefit from improved coverage, enhanced network quality, and expanded digital offerings in the coming months.
